Welcome to Conte, a service provided by Artrixx Inc. ("Artrixx", "we", "us", or "our"). By accessing or using Conte, you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use Conte.

1. Introduction & Acceptance of Terms

• Conte is an AI-powered tool that generates product descriptions, SEO metadata, and formatted product listings for eCommerce platforms.
• These Terms govern your access to and use of Conte, including any updates, new features, or modifications.
• By using Conte, you confirm that you are legally eligible to enter into this agreement and will comply with all applicable laws.
• If you are using Conte on behalf of a company, you represent that you have authority to bind the company to these Terms.

2. Definitions

• "Service" refers to Conte, including its website, platform, AI-generated content, and all associated features.
• "User" means any individual or entity accessing Conte.
• "AI-Generated Content" refers to any text, descriptions, metadata, or other outputs generated by Conte’s AI.
• "Subscription" refers to any paid plan granting access to premium features.

3. Eligibility & Account Registration

• Users must be 18 years or older (or the legal age in their jurisdiction) to use Conte.
• You must provide accurate registration details and keep your account secure.
• You are responsible for all activities under your account and must notify us of any unauthorized access.

4. Description of Services

• Conte enables Users to automatically generate and launch thousands of product listings with high-quality descriptions and SEO-friendly metadata.
• Users may integrate Conte with third-party platforms (e.g., Shopify, Amazon, WooCommerce), subject to third-party terms.
• While AI assists with content creation, Users are responsible for reviewing content accuracy and compliance with marketplace guidelines.

5. AI-Generated Content & Intellectual Property

• User Ownership: Users own the AI-generated content created through Conte, subject to any third-party rights.
• License to Artrixx: By using Conte, you grant Artrixx a non-exclusive, royalty-free license to store and analyze generated content to improve the Service.
• No Copyright Guarantee: AI-generated content may not be copyrightable under laws like the U.S. Copyright Act (17 U.S.C. § 102(a)). Users should consult legal counsel regarding intellectual property rights.
• Originality Disclaimer: Conte generates content algorithmically; we do not guarantee uniqueness or non-infringement of third-party copyrights.

6. User Responsibilities & Acceptable Use

By using Conte, you agree:

:white_check_mark: To verify the accuracy of descriptions before publishing.
:no_entry_sign: Not to generate content that is misleading, illegal, defamatory, obscene, or infringes on third-party rights.
:no_entry_sign: Not to use Conte for spam, phishing, or fraudulent activities.
:no_entry_sign: Not to attempt to reverse-engineer, scrape, or misuse the Service.

7. Payment, Subscriptions & Refunds

• Conte operates on a subscription-based model with various pricing tiers.
• All payments are processed through secure third-party payment processors.
• Subscriptions automatically renew unless canceled before the renewal date.
• Refunds: Payments are non-refundable except as required by law or explicitly stated in our refund policy.

8. Data Privacy & Security

• We collect and process data in accordance with our Privacy Policy.
• Conte does not store Users’ API keys, passwords, or sensitive business data beyond what is necessary for functionality.
• Users in the EU or California have rights under GDPR and CCPA, including access, correction, and deletion of personal data.

9. Third-Party Integrations & APIs

• Conte may integrate with third-party services such as Shopify, Amazon, eBay, and WooCommerce.
• Users are responsible for ensuring compliance with third-party terms when using such integrations.
• Artrixx is not liable for third-party service outages, API limitations, or changes in third-party policies affecting Conte’s functionality.

10. Limitation of Liability & Disclaimers

• No Guarantees: Conte provides AI-generated content "as-is" with no warranties regarding its accuracy, reliability, or suitability for any purpose.
• No Legal Responsibility: Artrixx is not responsible for legal or financial consequences arising from the use of AI-generated content.
• AI Risks: AI may produce biased, incorrect, or inappropriate content. Users must manually review all output before publishing.
• Limitation of Liability: To the fullest extent permitted by law, Artrixx’s total liability shall not exceed the total amount paid by the User in the last 12 months.

11. Indemnification

You agree to indemnify and hold Artrixx harmless from any claims, losses, or damages arising from:

• Your use of AI-generated content.
• Violations of intellectual property or third-party rights.
• Any breach of these Terms.

12. Termination & Suspension

• We may suspend or terminate your access to Conte without notice if you violate these Terms.
• Users may cancel subscriptions at any time, but fees are non-refundable unless otherwise stated.
• Upon termination, all rights granted to you under these Terms will immediately cease.

13. Modifications to the Service & Terms

• We may update or modify Conte’s features, pricing, or these Terms at any time.
• Users will be notified of significant changes, and continued use constitutes acceptance of the revised Terms.

14. Governing Law & Dispute Resolution

• These Terms are governed by the laws of Delaware, U.S. (if User is in the U.S.) or Ontario, Canada (if User is in Canada).
• Any disputes shall be resolved through binding arbitration in the applicable jurisdiction, unless prohibited by law.
